Affiliate & Ambassador Program Agreement

Version v2 · Effective 2026

This Affiliate & Ambassador Program Agreement ("Agreement") is entered into between Texas Performance Labs ("TPL," "Company," "we," "us," or "our") and the individual or entity accepted into the Texas Performance Labs Affiliate & Ambassador Program ("Affiliate," "you," or "your").

By applying to, accepting participation in, or using any affiliate link, discount code, marketing material, or other benefit provided by TPL, Affiliate agrees to the terms below.

1. Independent Contractor Relationship

Affiliate is an independent contractor and is not an employee, agent, legal representative, partner, joint venturer, franchisee, or owner of Texas Performance Labs.

Nothing in this Agreement creates an employer-employee relationship.

Affiliate is not entitled to employee benefits, workers' compensation, unemployment benefits, health insurance, retirement benefits, paid leave, or any other employee benefit.

Affiliate is solely responsible for all federal, state, and local taxes arising from commissions or other compensation received through the program.

Affiliate has no authority to enter into contracts, make commitments, incur obligations, make warranties, or otherwise bind Texas Performance Labs.

2. Research-Use-Only Products

Affiliate understands and agrees that Texas Performance Labs products are marketed and sold solely for legitimate laboratory research purposes.

Affiliate shall never state, imply, suggest, demonstrate, encourage, or permit others acting on Affiliate's behalf to represent that any TPL product is intended for:

  • Human consumption
  • Human administration
  • Injection
  • Oral consumption
  • Medical treatment
  • Disease prevention
  • Diagnosis
  • Therapeutic use
  • Weight loss
  • Muscle building
  • Injury recovery
  • Anti-aging
  • Hormone manipulation
  • Cosmetic treatment
  • Veterinary use
  • Any other human or animal use

Affiliate may not use language, imagery, demonstrations, testimonials, instructions, or contextual clues that reasonably suggest human use.

The fact that a product is labeled "For Research Use Only" does not by itself cure marketing that otherwise indicates human or clinical use; FDA guidance places significant weight on intended-use signals in labeling and promotional context.

3. No Dosing or Administration Instructions

Affiliate may not provide or publish:

  • Dosage recommendations
  • Dosing schedules
  • Reconstitution instructions intended for human use
  • Injection instructions
  • Syringe-unit calculations
  • Administration frequency
  • Injection-site recommendations
  • Cycle protocols
  • Stacking protocols
  • Human-use combinations
  • Personalized recommendations
  • Medical advice

Affiliate may not answer customer questions concerning how an individual should use, inject, consume, dose, administer, or combine any Texas Performance Labs product.

Questions involving human or animal use must not be answered by Affiliate.

4. No Medical or Therapeutic Claims

Affiliate may not make any express or implied claim that a Texas Performance Labs product:

  • Treats, cures, prevents, mitigates, or diagnoses a disease
  • Produces weight loss
  • Burns fat
  • Builds muscle
  • Improves athletic performance
  • Heals tendons, ligaments, joints, or injuries
  • Improves hormone levels
  • Improves fertility
  • Improves sexual function
  • Extends lifespan
  • Improves cognition
  • Treats inflammation
  • Improves metabolic health
  • Treats diabetes
  • Improves blood glucose
  • Produces any other medical, health, or therapeutic outcome

Affiliate may discuss only Company-approved research information and must present it in the manner authorized by Texas Performance Labs.

5. No False, Misleading, or Unsubstantiated Statements

Affiliate shall not make any statement that is false, misleading, deceptive, exaggerated, unsubstantiated, or likely to create a false impression.

Affiliate may not make unsupported claims concerning:

  • Product purity
  • Product identity
  • Manufacturing location
  • Sterility
  • Safety
  • Effectiveness
  • FDA status
  • Clinical effectiveness
  • Testing
  • Manufacturing standards
  • Shipping origin
  • Product availability
  • Guaranteed results

Only claims specifically authorized by Texas Performance Labs may be used.

FTC rules and guidance prohibit deceptive endorsements and can hold endorsers responsible for misleading statements or failures to disclose material connections.

6. No Personal-Use Testimonials

Affiliate may not publish personal testimonials describing use of a Texas Performance Labs research product in a human or animal.

Prohibited examples include statements such as:

  • "I lost 20 pounds using this."
  • "This fixed my shoulder."
  • "I inject this twice a week."
  • "This killed my appetite."
  • "This helped me recover."
  • "This gave me more energy."
  • "I used this peptide for…"

Before-and-after photographs, transformation photographs, injection videos, syringe photographs, or similar content suggesting human use are prohibited.

7. Required Affiliate Disclosure

Affiliate must clearly and conspicuously disclose their financial relationship with Texas Performance Labs whenever promoting the Company.

Acceptable disclosures may include:

  • "Texas Performance Labs Affiliate"
  • "Paid partnership with Texas Performance Labs"
  • "I may earn a commission from purchases through this link."
  • "Affiliate link — I may receive a commission."

The disclosure must appear where consumers are likely to notice it and must not be hidden in a long list of hashtags, buried on another page, or placed somewhere consumers are unlikely to see it. FTC guidance specifically calls for disclosure of affiliate relationships near promotional content and links.

8. Approved Marketing Materials

Affiliate should use Company-approved:

  • Product photography
  • Logos
  • Product descriptions
  • Promotional language
  • Research descriptions
  • Compliance disclosures
  • Discount offers
  • Landing pages

Texas Performance Labs may require removal or modification of any marketing content at any time.

Affiliate agrees to promptly comply with any such request.

9. Prohibited Advertising Channels and Practices

Unless approved in writing by Texas Performance Labs, Affiliate may not:

  • Purchase search ads using Texas Performance Labs trademarks
  • Bid on Texas Performance Labs branded keywords
  • Register domain names containing Texas Performance Labs or confusingly similar terms
  • Create social media accounts appearing to be official TPL accounts
  • Impersonate Texas Performance Labs
  • Send unsolicited bulk email
  • Send unsolicited commercial text messages
  • Use bots or automated spam
  • Post affiliate links in deceptive or misleading contexts
  • Use false countdown timers or fake scarcity
  • Create fake reviews
  • Purchase fake followers or engagement
  • Use misleading redirects
  • Use coupon websites without permission
  • Misrepresent themselves as Company employees

10. No Unauthorized Websites

Affiliate may not create a website, storefront, marketplace listing, or landing page that could reasonably appear to be owned or operated by Texas Performance Labs without written authorization.

Affiliate must clearly identify independently operated websites as independent affiliate properties.

11. Intellectual Property

Texas Performance Labs retains all rights in its:

  • Name
  • Trademarks
  • Logos
  • Product images
  • Product names
  • Website content
  • Graphics
  • Marketing materials
  • Trade dress

Affiliate receives a limited, revocable, non-exclusive, non-transferable license to use approved Company materials solely for participation in the Affiliate Program.

Affiliate may not modify Company logos or branding without written authorization.

12. Affiliate Links and Discount Codes

Texas Performance Labs may provide Affiliate with unique:

  • Affiliate links
  • Referral URLs
  • Discount codes
  • Tracking codes

These remain the property of Texas Performance Labs and may be modified, suspended, or terminated at any time.

Affiliate may not artificially generate commissions by manipulating links, cookies, attribution systems, or customer information.

13. Self-Referrals

Unless Texas Performance Labs expressly permits otherwise, Affiliate may not earn commissions on:

  • Affiliate's own purchases
  • Purchases made primarily for Affiliate's benefit
  • Orders placed through accounts controlled by Affiliate
  • Artificial or fraudulent transactions

14. Commission Eligibility

Commissions are earned only on eligible, verified, paid customer transactions attributed to Affiliate under the Company's tracking system.

Commissions are not earned on:

  • Unpaid orders
  • Cancelled orders
  • Fraudulent transactions
  • Refunded orders
  • Chargebacks
  • Duplicate orders
  • Affiliate self-purchases where prohibited
  • Orders determined by TPL to violate program rules

Texas Performance Labs' determination regarding attribution and commission eligibility shall control absent clear error.

15. Commission Reversals

If a transaction is refunded, cancelled, charged back, determined to be fraudulent, or otherwise becomes ineligible, Texas Performance Labs may reverse any corresponding commission.

If the commission has already been paid, Texas Performance Labs may deduct the amount from future payments where lawful.

16. Compensation Does Not Constitute Employment

Affiliate compensation is based solely on qualifying referral activity.

Affiliate is not paid:

  • Wages
  • Salary
  • Hourly compensation
  • Overtime
  • Employee benefits

Affiliate determines when, where, and whether to promote Texas Performance Labs, subject to compliance with this Agreement.

17. No Guaranteed Income

Texas Performance Labs makes no guarantee regarding:

  • Earnings
  • Revenue
  • Sales
  • Commission levels
  • Conversion rates
  • Customer volume
  • Affiliate success

Affiliate may not make misleading income claims when recruiting or discussing the affiliate opportunity.

FTC enforcement has repeatedly focused on deceptive earnings claims and compensation systems that emphasize recruiting rather than legitimate customer sales.

18. No Downline or Recruitment Compensation Unless Expressly Authorized

Unless Texas Performance Labs establishes a separate written program, Affiliate earns commissions only on Affiliate's own qualifying referrals.

Affiliate does not receive compensation merely for recruiting another affiliate.

This program is intended to reward legitimate customer sales rather than recruitment activity. FTC guidance treats compensation incentives and the focus on sales versus recruitment as important considerations in evaluating MLM structures.

19. Social Media Conduct

When promoting Texas Performance Labs on social media, Affiliate must:

  • Identify themselves as an affiliate where required
  • Make clear and conspicuous disclosures
  • Avoid medical claims
  • Avoid human-use references
  • Avoid dosing discussions
  • Avoid misleading hashtags
  • Use only accurate descriptions
  • Follow the rules of the applicable platform

Affiliate is responsible for comments or replies they personally make on their promotional posts.

20. Monitoring and Compliance Review

Texas Performance Labs may monitor Affiliate marketing activity to protect the Company, customers, and program.

Affiliate agrees that Texas Performance Labs may request:

  • URLs
  • Screenshots
  • Social media handles
  • Marketing examples
  • Advertising copy
  • Email campaigns
  • Promotional materials

Affiliate must reasonably cooperate with compliance reviews.

21. Immediate Removal of Prohibited Content

If Texas Performance Labs determines that content violates this Agreement, Affiliate must remove or correct the content immediately upon request.

Failure to promptly comply may result in suspension or termination.

22. Suspension or Termination

Texas Performance Labs may suspend or terminate an Affiliate at any time for violation of this Agreement or conduct that the Company reasonably believes creates legal, regulatory, reputational, or commercial risk.

Grounds may include:

  • Human-use promotion
  • Medical claims
  • Dosing instructions
  • False statements
  • Failure to disclose affiliate relationship
  • Fraud
  • Spam
  • Trademark misuse
  • Fake reviews
  • Unauthorized advertising
  • Failure to remove prohibited content
  • Repeated compliance violations
  • Conduct harmful to Texas Performance Labs

Serious violations involving human use or deceptive claims may result in immediate termination without prior warning.

23. Effect of Termination

Upon termination:

  • Affiliate must stop representing themselves as a Texas Performance Labs Affiliate.
  • Affiliate must stop using Company trademarks and marketing materials.
  • Affiliate links and discount codes may be deactivated.
  • Affiliate must remove Company-branded promotional content upon request.
  • Unpaid commissions attributable to fraudulent, prohibited, or noncompliant activity may be forfeited to the extent permitted by law.
  • Valid commissions earned before termination may be paid according to the program's normal terms unless they relate to prohibited activity.

24. Indemnification

To the extent permitted by law, Affiliate agrees to indemnify and hold harmless Texas Performance Labs and its owners, managers, officers, employees, and agents from claims, losses, liabilities, damages, costs, and reasonable attorneys' fees arising from Affiliate's:

  • Violation of this Agreement
  • Unauthorized claims
  • Advertising activities
  • Negligence
  • Misrepresentations
  • Intellectual-property violations
  • Illegal conduct
  • Human-use promotion
  • Failure to make legally required advertising disclosures

25. Compliance With Laws

Affiliate is responsible for complying with all applicable federal, state, and local laws and regulations, including advertising and endorsement requirements.

Nothing in this Agreement authorizes Affiliate to engage in unlawful conduct.

26. Confidential Information

Affiliate may receive nonpublic information concerning:

  • Pricing
  • Promotions
  • Affiliate commissions
  • Marketing strategy
  • Customer information
  • Supplier information
  • Internal operations

Affiliate must not disclose confidential Company information except as authorized.

27. Customer Information and Privacy

Affiliate may not collect, store, sell, share, or misuse Texas Performance Labs customer information except where expressly authorized and legally permitted.

Affiliate shall not represent that they have access to customer information that Texas Performance Labs has not provided.

28. No Assignment

Affiliate may not sell, transfer, assign, sublicense, or otherwise transfer participation in the program without written approval from Texas Performance Labs.

29. Modification of Program

Texas Performance Labs may modify:

  • Commission rates
  • Discount rates
  • Promotional terms
  • Attribution windows
  • Eligible products
  • Program rules
  • Payment schedules

Affiliate will be provided reasonable notice of material changes where appropriate.

Continued participation after changes become effective constitutes acceptance of the updated terms.

30. Program Is Revocable

Participation in the Texas Performance Labs Affiliate Program is a privilege, not a contractual right to perpetual participation.

Texas Performance Labs may discontinue the program or an Affiliate's participation as permitted by this Agreement.

31. No Waiver

Failure by Texas Performance Labs to enforce a provision on one occasion does not waive its right to enforce that provision later.

32. Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

33. Entire Agreement

This Agreement, together with any written Affiliate Program policies incorporated by reference, constitutes the entire agreement concerning Affiliate's participation in the program.

34. Electronic Acceptance

Affiliate agrees that checking an acceptance box, submitting an application, signing electronically, or otherwise affirmatively accepting this Agreement constitutes an electronic signature and agreement to be legally bound.
